· Review Customer & Supplier terms and conditions, (t and c’s)
Customers and Suppliers will frequently push their product specific t and c’s and be reluctant to accept yours. The product specific t and c’s will, in most cases, be biased in favour of the offering party.
In the case of a development or installation project, a model form contract is likely to be the required contracting vehicle.
· Produce risk analyses and draft changes
Both above instances will introduce substantial and disproportionate risk which must be analysed and considered.
We will produce risk analyses in a generic form for consideration generally against the risk strategy and governance your business; and also a weighted risk analysis against the specific scope of the transaction contemplated.
· Negotiate changes.
We will negotiate changes that will mitigate the identified risk. This will include drafting changes to the t and c’s to a complete change in the proposed contracting model. Other actions to mitigate will also be identified for consideration as appropriate.
In any event we will negotiate to the conclusion of an equitable and mutually acceptable basis on which to contract.
· Negotiate changes & early termination
In the event of change to your business having an unsustainable impact on an existing contract, we will negotiate required change including early termination.
· Provide end to end contract management

· Produce bid & contract documents
We will produce all documentation to the extent required
· Dispute mediation
In the event of any contractual dispute we will mediate between the parties involved until the dispute is resolved. We will draft a settlement agreement to secure the detail contractually.
